Kiive Audio End User License Agreement

Effective date: July 2, 2026

This End User License Agreement (the "Agreement") is a legal agreement between you (the "Licensee", "you") and Kiive Audio ("Kiive", "we", "us") and applies to all Kiive software products, including paid plugins, free plugins, trial versions, factory presets, and accompanying documentation (together, the "Software"). By purchasing, downloading, installing, or using the Software, you agree to the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Subject to your compliance with this Agreement, Kiive grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Software for your own music and audio production, whether commercial or non-commercial. The Software is licensed to you, not sold. This license is granted to you as an individual; a facility or team where multiple people use the Software requires a license for each user. 2. Installation and Activation

Each license includes three (3) activations so you can run the Software on the computers you personally own and use, such as a studio machine, a laptop, and a backup system. If you replace a computer or run out of activations, contact support@kiiveaudio.com with your order number and license key and we will help you reset or extend your activations. Sharing your license key with any other person, or publishing it in any form, is a breach of this Agreement.

3. Free Trials

Kiive plugins offer a fully functional 14 day free trial. Trial versions are licensed solely so you can evaluate the Software on your own system, and they stop functioning at the end of the trial period. You may not extend or restart a trial by reinstalling the Software, resetting your system, creating additional accounts, or any other means of circumvention. Continued use of the Software after the trial period requires purchase of a license.

4. Free Products

Certain products are offered free of charge (for example, Warmy EP1A and XTMax). Free products are licensed under the same terms as paid products, are provided as-is, and may be modified or discontinued at any time. Free products may not be resold, redistributed, rehosted, or bundled with other offers without our prior written permission; if you want to share them, link to kiiveaudio.com.

5. Not For Resale Copies

Copies of the Software provided without charge for review, promotion, giveaways, or evaluation ("NFR" copies) may be used only for personal use, demonstration, and review purposes. NFR copies may not be sold, transferred, or exchanged, and may be excluded from promotions, upgrade paths, and other offers.

6. Your Audio and Presets

Audio that you record, process, mix, or master using the Software belongs to you. You owe Kiive no royalties or fees on music or audio created with the Software, including commercial releases. Factory presets included with the Software may be used freely within your productions, but factory presets and any other content extracted from the Software may not be redistributed, sold, or repackaged as standalone content. Presets that you create yourself for Kiive plugins are yours to share or sell.

7. Ownership

Kiive retains all right, title, and interest in and to the Software, including all signal processing code, user interfaces, artwork, documentation, factory presets, trademarks, and other intellectual property. No rights are granted to you other than those expressly stated in this Agreement.

8. Restrictions

You may not, and may not permit anyone else to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent such restriction is prohibited by applicable law; (b) circumvent, disable, or tamper with the license protection or activation systems of the Software; (c) rent, lease, lend, sublicense, or provide the Software as a service to third parties; (d) redistribute the Software or its installers in any form; (e) modify the Software or create derivative works of it; (f) remove or alter any copyright or proprietary notices; or (g) use the Software or its output for the purpose of training machine learning models to replicate the behavior or sound of the Software.

9. License Transfers

Licenses may not be resold or transferred to another person without our prior written consent. If you would like to transfer a license, contact support@kiiveaudio.com; approval is at our discretion and may require verification from both parties.

10. Updates and Support

Kiive currently provides maintenance and compatibility updates for its products at no additional charge, and support is available at support@kiiveaudio.com. We do not guarantee that the Software will remain compatible with every current or future operating system, DAW, plugin host, or hardware configuration, or that any particular feature will be maintained indefinitely. Updates, when provided, are part of the Software and are governed by this Agreement.

11. Refunds

Purchases of the Software are governed by the Kiive Audio Refund Policy published on kiiveaudio.com. Because free trials are available for evaluation, all sales are final except as described in that policy.

12. Termination

This Agreement is effective until terminated. It terminates automatically, without notice, if you breach any of its terms. Upon termination, the license granted to you ends immediately and you must stop using the Software and delete all copies in your possession. Sections 6, 7, 8, 13, 14, 15, and 16 survive termination.

13. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by law, Kiive disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Kiive does not warrant that the Software will meet your requirements, operate without interruption, or be error-free, and you are responsible for confirming that your system meets the published requirements before purchase.

14. Limitation of Liability

To the maximum extent permitted by law, in no event shall Kiive, its owners, directors, employees, contractors, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages of any kind, including lost profits, lost revenue, loss of business, or loss of data, arising out of or related to this Agreement or the use of or inability to use the Software, even if advised of the possibility of such damages. Kiive's total aggregate liability under this Agreement shall not exceed the amount you paid for the specific Software giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in those jurisdictions, liability is limited to the maximum extent permitted by law.

15. Third-Party Trademarks

VST is a trademark of Steinberg Media Technologies GmbH. Audio Units and AU are trademarks of Apple Inc. AAX and Pro Tools are trademarks of Avid Technology, Inc. Any other company names, hardware names, or product names referenced by Kiive are the trademarks of their respective owners, are used only to describe compatibility or the character of equipment studied during development, and do not imply any affiliation with or endorsement by those owners.

16. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario for any dispute arising out of this Agreement.

17. Severability and Entire Agreement

If any provision of this Agreement is held invalid or unenforceable, the remainder shall remain in full force and effect, and the invalid provision shall be enforced to the maximum extent permitted. This Agreement, together with the Kiive Audio Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between you and Kiive regarding the Software and supersedes all prior agreements on this subject. We may update this Agreement for new products and versions; the version in effect when you acquire a license governs that license, and material changes will be posted at kiiveaudio.com.
